These Terms are effective as of May 1, 2026, and supersede all prior agreements, representations, warranties, and understandings between you and Qyrova Bank with respect to the subject matter hereof. 2. Eligibility Requirements

You must be at least 18 years of age to create an account and use our Services. Individuals under the age of 18 are strictly prohibited from accessing or using our platform. By registering for an account, you represent and warrant that you are at least 18 years old. If we discover that an account has been created by or for a person under the age of 18, we reserve the right to immediately suspend or terminate that account without prior notice and without liability of any kind.

You represent and warrant that you are a legal resident of one of these countries and that your use of our Services complies with all applicable laws and regulations of your jurisdiction. You represent and warrant that you have the full legal capacity and authority to enter into this Agreement and to perform all of your obligations hereunder. If you are accessing our Services on behalf of a business entity or other organization, you represent and warrant that you have the authority to bind that entity to these Terms and that the entity agrees to be bound by these Terms.

2.4 No Prior Bans

You represent and warrant that you have not previously been suspended, banned, or otherwise prohibited from using Qyrova Bank's Services due to a violation of our Terms of Service or applicable law. Creating a new account after a prior account has been suspended or terminated without our express written consent constitutes a material breach of these Terms.

2.5 Compliance with Laws

You agree to comply with all applicable local, national, and international laws, regulations, and ordinances in connection with your use of our Services. This includes, without limitation, laws and regulations relating to financial services, data protection, and consumer protection. You are solely responsible for ensuring that your use of our Services complies with all laws applicable to you in your jurisdiction.

3. Account Registration and Management

To access certain features of our Services, you must create a Qyrova Bank account. The following terms govern the creation and ongoing management of your account and your responsibilities as an account holder.

3.1 Registration Information

When creating your account, you agree to provide accurate, current, complete, and truthful information as prompted by the registration process. You further agree to update this information promptly to ensure that it remains accurate, current, and complete at all times during your use of our Services. Providing false, inaccurate, or misleading information during registration or at any other time constitutes a material breach of these Terms and may result in the immediate suspension or termination of your account without notice and without liability to you.

3.2 Account Credentials

You are solely responsible for maintaining the confidentiality of your account credentials, including your username, password, and any other authentication factors associated with your account. You agree not to share your credentials with any other person or entity and to take all reasonable precautions to prevent unauthorized access to your account. You understand and agree that you are fully responsible for all activities that occur under your account, regardless of whether you authorized such activities.

3.3 Account Security Notifications

You agree to notify Qyrova Bank immediately at support@qyrova.net if you suspect or become aware of any unauthorized use of your account credentials, any unauthorized access to your account, or any other security breach affecting your account or our platform. Qyrova Bank will not be liable for any losses or damages arising from your failure to maintain the security of your account credentials or from any unauthorized access to your account that results from your negligence or failure to comply with these Terms.

3.4 One Account Per User

Each individual user is permitted to maintain only one active Qyrova Bank account at any given time. Creating multiple accounts for the same individual is strictly prohibited and may result in the suspension or termination of all associated accounts without notice. If you discover that you have more than one account, please contact us immediately at support@qyrova.net so that we can assist you in consolidating your accounts in an orderly manner.

3.5 Account Verification

Qyrova Bank reserves the right to require additional verification of your identity at any time, including but not limited to verification of your name, email address, country of residence, or other information. Failure to complete required verification within the specified timeframe may result in restrictions on your account access or the suspension of your account until verification is successfully completed.

4. Banking Services

Qyrova Bank provides a comprehensive suite of digital banking services. The following describes the services we offer and the terms governing their use. All services are subject to the eligibility requirements and other terms set forth in this Agreement.

4.1 Checking Account

Your Qyrova Bank checking account is your primary transactional account, providing you with the ability to receive deposits, make payments, and conduct transfers. Your checking account balance is updated in real time to reflect completed transactions. Certain transactions may be subject to review and processing periods before the funds are made available in your account. Qyrova Bank reserves the right to place holds on funds deposited to your account in accordance with our funds availability policy.

4.2 Savings Account

Your Qyrova Bank savings account is designed to complement your checking account and to provide a separate space for funds you wish to set aside. You may transfer funds between your checking and savings accounts at any time through our platform. Qyrova Bank reserves the right to modify the terms and conditions applicable to savings accounts, including any applicable features or benefits, with reasonable notice to you.

4.3 Service Availability

We strive to make our Services available to you at all times. However, we cannot guarantee uninterrupted access to our platform. Our Services may be temporarily unavailable due to scheduled maintenance, unexpected technical issues, cybersecurity incidents, or circumstances beyond our reasonable control. We will make reasonable efforts to notify you in advance of any planned maintenance periods that may significantly affect your access to our Services. Qyrova Bank shall not be liable for any losses or damages arising from any unavailability of our Services.

4.4 Service Modifications

Qyrova Bank reserves the right to modify, suspend, discontinue, or restrict any aspect of our Services at any time, including the removal of features or functionality, with or without prior notice, except where advance notice is required by applicable law. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our Services, provided that we will make reasonable efforts to notify you of any significant changes that materially affect your use of our Services.

All services are protected by comprehensive security measures designed to protect the integrity of your account and the safety of your information.

Your use of our Services is subject to this Acceptable Use Policy. By using our Services, you agree to comply with all applicable laws and regulations and to use our Services only for lawful purposes. Any attempt to use our platform for illegal or unauthorized purposes may result in immediate account termination and appropriate legal action. We take the integrity of our platform extremely seriously.

6. Transfers and Payments

Qyrova Bank provides fund transfer and payment services subject to the following terms and conditions. All transfers are subject to our security review procedures and applicable limits.

6.1 Transfer Processing

Internal transfers between your Qyrova Bank checking and savings accounts are processed and reflected in your account balance upon completion. Transfers to external accounts are subject to review and verification procedures and may take between one and five business days to complete, depending on the destination and the amount of the transfer. External transfers may be held for review if they trigger our security monitoring systems, in which case we will notify you of the hold and the expected processing timeframe.

6.2 Transfer Limits

Your account is subject to daily, weekly, and monthly transfer limits designed to protect the security of your account and to comply with applicable requirements. These limits may vary based on your account verification status, account history, and other factors that our risk management systems consider relevant. You may request a review of your transfer limits by contacting our support team, subject to our review and approval at our sole discretion.

6.3 Transfer Authorization

By initiating a transfer through our platform, you authorize Qyrova Bank to debit the specified amount from your account and to credit it to the designated recipient account. You are solely responsible for ensuring that all transfer details are accurate before confirming the transaction. Qyrova Bank will not be liable for any losses arising from transfers made to incorrect account numbers or in incorrect amounts due to errors on your part. Please review all transfer details carefully before confirming any transaction.

6.4 Transfer Cancellation and Reversal

Once a transfer has been submitted and confirmed, it may not be possible to cancel or reverse it, particularly if the transfer has already been processed. If you wish to attempt to cancel a pending transfer, please contact our support team immediately at support@qyrova.net. We will make reasonable efforts to assist you, but we cannot guarantee that cancellation will be possible in all cases. Completed transfers cannot be reversed once the funds have been credited to the recipient account.

6.5 Failed and Returned Transactions

If a transaction fails or is returned for any reason, including insufficient funds, incorrect account details, technical issues, or security holds, we will notify you as soon as reasonably practicable. Any funds that were debited from your account in connection with a failed transaction will be refunded to your account within a reasonable timeframe, subject to any applicable holds, restrictions, or fees that may apply.

Qyrova Bank reserves the right to introduce new fees or to modify our existing fee schedule at any time. We will provide you with at least 30 days advance notice of any changes to fees that affect your account, except where a shorter notice period is required by applicable law or is necessary to address security or fraud risks. Your continued use of our Services after the effective date of any fee change constitutes your acceptance of the new fee schedule.

8. Security and Your Responsibilities

The security of your account is a shared responsibility. While Qyrova Bank implements comprehensive security measures to protect your account and personal information, you also have important obligations to maintain the security of your account and to use our Services responsibly.

Qyrova Bank will never ask you to provide your password, PIN, full card number, or other sensitive security credentials via email, telephone, chat, or any other communication channel. If you receive any communication purporting to be from Qyrova Bank that requests such information, you should treat it as a phishing attempt and report it to us immediately at support@qyrova.net. You are responsible for exercising appropriate caution and judgment in all of your online activities and in your responses to communications that claim to be from Qyrova Bank.

In the event of a confirmed security incident affecting your account or our platform, we will notify you as soon as reasonably practicable and will take all necessary steps to mitigate the impact of the incident, investigate its cause, and implement measures to prevent future occurrences. Your cooperation with our security team during any investigation is expected and appreciated.

9. Identity Verification

Qyrova Bank requires identity verification for all account holders seeking full access to our Services. This verification process is designed to protect the security and integrity of our platform and to ensure that our Services are used responsibly and in accordance with these Terms.

9.1 Verification Process

When you request account verification, our compliance team will contact you with instructions on how to complete the process. You will be required to provide documentation and information that confirms your identity as part of this process. All verification requests are reviewed by our team and are typically processed within 24 to 48 business hours of receiving all required documentation. We reserve the right to request additional information or documentation at any stage of the verification process.

9.2 Accuracy of Documentation

You agree to provide only accurate, authentic, and complete documentation in connection with the identity verification process. You acknowledge that providing false, fraudulent, or misleading documentation is a serious violation of these Terms and may result in the immediate termination of your account and other appropriate action. Qyrova Bank reserves the right to reject any verification request where we have reasonable grounds to believe that the submitted documentation is inaccurate, incomplete, or fraudulent.

9.3 Ongoing Compliance

Qyrova Bank reserves the right to conduct ongoing monitoring of account activity and to request additional verification at any time if our monitoring systems identify unusual or suspicious activity on your account. Your continued use of our Services is contingent on your cooperation with any such monitoring or verification requests within the timeframes we specify.

9.4 Consequences of Failed Verification

If you fail to complete the identity verification process within the timeframe we specify, or if your verification request is rejected, your account access may be restricted or suspended until verification is successfully completed. In cases where we determine that submitted documentation was fraudulent, we may immediately terminate your account and take any other action we deem appropriate under the circumstances.

10. Card Services

Qyrova Bank offers debit card services to eligible account holders. The availability of card services is subject to our eligibility criteria and the terms set forth in this section.

10.1 Card Eligibility and Issuance

Debit card services are available to account holders who maintain an account in good standing and who have submitted a card application through our platform. Qyrova Bank reviews all card applications and reserves the right to approve or reject any application at its sole discretion. Approval of a card application is not guaranteed and may be subject to additional verification requirements.

10.2 Responsible Card Use

You are responsible for all transactions made using your debit card and for ensuring that your card is used only for lawful purposes in accordance with these Terms. You agree to promptly report any lost, stolen, or compromised card to us by freezing your card through our platform or by contacting us at support@qyrova.net. You understand that you may be liable for unauthorized transactions that occur before you notify us of the loss or compromise of your card.

10.3 Card Freezing and Unfreezing

You may freeze your debit card at any time through our platform to immediately prevent any further use of the card. A frozen card cannot be used for purchases, ATM withdrawals, or any other transactions until it is unfrozen by you through our platform. You may unfreeze your card at any time by accessing the card management section of your dashboard. Qyrova Bank is not liable for any unauthorized transactions that occur as a result of your failure to freeze your card promptly upon becoming aware of a security concern.

10.4 Card Limits and Controls

Your debit card is subject to daily purchase limits and ATM withdrawal limits that are set at levels designed to protect the security of your account. You may adjust these limits within the boundaries permitted by your account type through the card management section of your dashboard. Qyrova Bank reserves the right to modify card limits at any time for security or other reasons, with or without prior notice to you.

11. Loan Services

Qyrova Bank offers loan products to eligible account holders through our platform. The availability and terms of loan products are subject to our review and approval process and to the specific terms communicated to you upon approval of your application.

11.1 Loan Applications and Approval

Loan applications submitted through our platform are subject to review and approval by our team. Submission of a loan application does not guarantee approval, and Qyrova Bank reserves the right to approve or reject any loan application at its sole discretion and without being required to provide a reason for its decision. Our review process considers a variety of factors relevant to your application and account history.

11.2 Loan Terms and Conditions

The specific terms of any approved loan, including the principal amount, applicable interest rate, repayment schedule, and any fees, will be communicated to you upon approval of your application. By accepting a loan offer, you agree to be bound by the specific terms of that loan in addition to these general Terms of Service. You should review all loan terms carefully before accepting any loan offer.

11.3 Loan Repayment Obligations

If your loan application is approved and you accept the loan offer, you agree to repay the loan in accordance with the agreed repayment schedule without exception. Failure to make timely repayments in accordance with the agreed schedule may result in late payment fees, restrictions on your account access, and other remedies available to us under these Terms and applicable law. We reserve the right to take all necessary steps to recover any outstanding loan amounts, including deducting overdue amounts from your account balance where applicable.

11.4 Loan Cancellation

You may cancel a loan application at any time before you accept the loan offer. Once you have accepted a loan offer and the funds have been disbursed to your account, cancellation may not be possible. If you wish to repay a loan early, please contact our support team at support@qyrova.net for information about early repayment options and any applicable terms.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Qyrova Bank and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind arising out of or in connection with your use of or inability to use our Services, even if we have been advised of the possibility of such damages.

12.1 Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that our Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

12.2 Maximum Liability Cap

To the extent that we are found to be liable for any claims arising from these Terms or your use of our Services, our total aggregate liability to you for all claims shall not exceed the total fees actually paid by you to Qyrova Bank in the twelve months immediately preceding the event giving rise to the claim. This limitation applies to all causes of action in the aggregate, including but not limited to breach of contract, breach of warranty, negligence, and misrepresentation.

12.3 Indemnification

You agree to indemnify, defend, and hold harmless Qyrova Bank and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, your violation of any rights of a third party, or your violation of any applicable laws or regulations. This indemnification obligation will survive the termination of your account and these Terms.

12.4 Force Majeure

Qyrova Bank shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, power or telecommunications failures, internet outages, cyberattacks by third parties, or other events that are genuinely beyond our ability to prevent or control.

13. Account Termination and Suspension

Either you or Qyrova Bank may terminate the account relationship at any time, subject to the terms and procedures set forth in this section. Termination does not affect any rights or obligations that have accrued prior to the date of termination.

13.1 Voluntary Termination by You

You may request the closure of your Qyrova Bank account at any time by contacting our support team at support@qyrova.net. Upon receiving your closure request, we will process it in accordance with our standard account closure procedures. Any remaining balance in your account at the time of closure will be returned to you within a reasonable timeframe, subject to any applicable holds, pending transactions, outstanding loan balances, or other obligations associated with your account.

13.2 Termination by Qyrova Bank

Qyrova Bank reserves the right to suspend or terminate your account at any time and, where circumstances permit, with or without prior notice, for any of the following reasons or for any other reason that we deem sufficient in our sole discretion:

Upon termination of your account for any reason, your right to access and use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination, including but not limited to provisions relating to limitation of liability, indemnification, ownership, and governing law, shall continue to apply after termination of your account.

14. Intellectual Property

All content, features, and functionality available through our Services, including but not limited to all text, graphics, logos, icons, images, data compilations, software, and the compilation thereof, are the exclusive property of Qyrova Bank or its licensors and are protected by applicable intellectual property laws.

14.1 Limited License

Subject to your strict compliance with these Terms, Qyrova Bank grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services solely for your personal, non-commercial banking purposes. This license does not include the right to copy, modify, distribute, sell, lease, or otherwise exploit any part of our Services or to reverse engineer or attempt to extract the source code of any software underlying our platform.

14.2 Restrictions on Use

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our platform without the prior written consent of Qyrova Bank. Any use of our intellectual property that is not expressly authorized by these Terms or by our prior written consent is strictly prohibited and may result in civil or criminal liability.

If you provide us with any feedback, suggestions, or ideas regarding our Services, you grant Qyrova Bank a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate such feedback into our Services without any obligation to you. 16. Governing Law

These Terms of Service and any disputes arising out of or in connection with them or your use of our Services shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles that would result in the application of the laws of any other jurisdiction. The governing law applicable to your use of our Services may vary depending on your country of residence and the specific nature of any dispute.

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the validity, legality, and enforceability of the remaining provisions of these Terms shall not in any way be affected or impaired thereby.

The failure of Qyrova Bank to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to by us in writing. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Qyrova Bank and will not be deemed a waiver of any other provision or of the same provision on any other occasion.

17. Dispute Resolution

We value our relationship with our users and prefer to resolve any disputes in a fair, efficient, and amicable manner. The following procedures govern the resolution of any disputes that may arise between you and Qyrova Bank in connection with these Terms or your use of our Services.

17.1 Informal Resolution

17.3 Class Action Waiver

All disputes must be brought and resolved on an individual basis only. This class action waiver is a material term of these Terms and forms a fundamental part of the basis of the bargain between you and Qyrova Bank.

Any claim or dispute arising from your use of our Services or these Terms must be brought within one year of the date on which the claim or dispute arose, after which such claim or dispute shall be permanently barred regardless of any statute of limitations that would otherwise apply.
